Welcome to Bioceutica Milano. The terms "we," "us," and "our" refer to AR99 LLC, based in Miami, Florida. AR99 LLC operates the online store us.bioceuticamilano.com and its related services (the "Services"). The Services are hosted on the Shopify platform.
These Terms of Service (the "Terms"), together with our Privacy Policy, govern your rights and obligations when you use the Services.
These Terms do not limit any rights you have under consumer protection laws that cannot be waived by contract. If there is a conflict, those laws prevail.
By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Access and account
To use the Services, you must be at least the age of majority in your state of residence. If you allow a minor in your legal care to use your account, you are responsible for that use.
To place an order, you may be asked for your email address and your billing, payment, and shipping details. You confirm that this information is accurate and up to date. You are responsible for keeping your account login details secure.
You may not transfer your account to anyone else.
2. Products
We work hard to show our products accurately. Colors and appearance may look slightly different on your screen depending on your device settings.
We may update product descriptions, change our product range, or limit available quantities at any time. Orders we have already accepted will still be honored.
Nothing in this section limits any warranty rights you have under applicable law.
3. Orders
When you place an order, you are making an offer to purchase. The sale is final once we send you the shipping confirmation (not just the confirmation that we received your order).
We may decline an order for objective reasons, such as a product being unavailable, an obvious pricing error, suspected fraud, or shipping restrictions. If that happens, we will let you know and refund in full any amount you were charged.

4. Prices and payment
Prices are shown in US dollars. Applicable sales tax and any shipping costs are shown at checkout, before you confirm your order.
The price that applies is the one shown when you submit your order and listed in your confirmation email. If there is an obvious pricing error (for example, a typo that makes a price clearly out of line with its market value), we may cancel the order and refund you in full.
You confirm that the payment method you use is in your name or that you are authorized to use it. The amount charged includes the price, shipping, and applicable taxes.
5. Shipping and delivery
Delivery times are estimates. We aim to deliver as quickly as possible and, in any case, within 30 days of your order being accepted, unless we agree otherwise.
The risk of loss or damage to the products passes to you only when you, or someone you designate other than the carrier, take physical possession of them.
If you choose your own carrier instead of one we offer, the risk passes to you when the products are handed over to that carrier.
6. Intellectual property
All content in the Services (trademarks, text, images, graphics, video, audio, and their selection and arrangement) is owned by AR99 LLC, its affiliates, or its licensors, and is protected by US and international trademark, copyright, and intellectual property laws.
You may use content from the Services only for personal, non-commercial purposes. You may not copy, distribute, modify, create derivative works from, republish, download, or transmit the content without our written permission, except as allowed by law.
The "Bioceutica" name and logos, product names, and slogans are trademarks of AR99 LLC, its affiliates, or its licensors. "Shopify" is a trademark of Shopify Inc.
7. Third-party tools
Some tools offered through the Services (such as plugins or third-party widgets) are provided "as is." We are not responsible if those tools malfunction, although we remain responsible to you, as a consumer, for the overall functioning of our store.
8. Links to third-party websites
The Services may include links to websites run by third parties. We do not control those websites and are not responsible for their content. Your use of third-party websites is at your own risk and subject to their terms.
9. Our relationship with Shopify
The Services are hosted by Shopify. All sales are made directly between you and AR99 LLC. Shopify provides the technology but is not a party to the sale and is not responsible for the products or services sold.
10. Privacy
How we handle your personal information is described in our Privacy Policy. Because our store is hosted by Shopify, Shopify's privacy policy also applies to the data processed through its platform.
11. Feedback and user content
If you send us suggestions, reviews, ideas, or other content ("Feedback"), you grant us a non-exclusive, royalty-free, sublicensable, and transferable license to use that Feedback to run, provide, and improve the Services, including publishing reviews on our website.
You confirm that the Feedback is yours or that you have the right to share it, that it does not infringe anyone else's rights, and that it does not contain unlawful, defamatory, or obscene content or malware. We may remove Feedback that does not meet these requirements or that violates these Terms.
We are not required to keep Feedback confidential or to respond to it.
12. Errors, inaccuracies, and omissions
The Services may contain typos or inaccuracies. We reserve the right to correct them and, in the case of an obvious error, to cancel orders already placed and refund you in full.
13. Prohibited uses
By using the Services, you agree not to use them:
- for any unlawful purpose;
- to infringe intellectual property or other rights of anyone;
- to harass, intimidate, or harm others;
- to share false information;
- for spam, phishing, or pharming;
- to upload viruses or malicious code;
- for scraping, automated data extraction, or collecting other people's personal information, unless expressly allowed;
- to get around security or authentication measures.
We may suspend your access if you break these rules.
14. Automated agents
"Agent" means any software, including agentic AI, that accesses the Services autonomously or semi-autonomously on behalf of a person.
Agents may access the Services only if they:
- identify themselves as agents in the HTTP User-Agent string, using the format Agent/[name];
- do not hide that they are not human (they do not imitate human behavior or bypass CAPTCHAs);
- answer truthfully when asked whether they are an agent;
- respect technical or stated limits (robots.txt, rate limits).
We may block Agents that do not meet these requirements.
15. Term and termination
We may end your access to the Services if you seriously violate these Terms or for objective reasons (such as discontinuing the Services or an order from a public authority).
If your access ends, any sections that by their nature should survive will remain in effect, including Intellectual property, Feedback, Warranty and liability, Governing law, and Privacy.
16. Warranty and liability
Your purchases are covered by any warranties that apply under applicable law, in addition to our 90-day money-back guarantee.
Limitation of liability: to the extent permitted by applicable law, our total liability to you under any sale is limited to the greater of:
- the price you paid for the products involved in the claim; or
- the minimum amount required by applicable law.
Nothing in these Terms excludes or limits our liability for:
- fraud, willful misconduct, or gross negligence;
- death or personal injury caused by our negligence;
- defective products under applicable product liability laws;
- consumer rights that cannot be waived.
We are not liable for indirect or consequential damages, or for lost profits or business opportunities, arising from use of the Services other than as a consumer.
17. Indemnification
If you use the Services for purposes other than personal consumer use (for example, resale, scraping, fraud, or infringing the rights of others), you agree to cover our reasonable costs, including legal fees, resulting from that use.
This section does not apply to consumers making ordinary purchases of our products.
18. General terms
Severability: if any provision is found invalid, the rest of these Terms remain in effect.
No waiver: if we do not enforce a right, that does not mean we waive it.
Entire agreement: these Terms and our Privacy Policy form the entire agreement between you and us.
Assignment: you may not transfer your rights under these Terms. We may transfer this agreement to a successor, and your consumer protections will remain in place.
19. Governing law and jurisdiction
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules.
Any dispute will be handled by the courts located in Miami-Dade County, Florida, unless the consumer protection laws of your state give you the right to bring a claim where you live.

20. Changes to these Terms
We may update these Terms. Changes apply to orders placed after they are published. For significant changes, we will notify you by email or with a notice on our website before they take effect. Orders already accepted remain governed by the Terms in effect when they were placed.

22. SMS Program
Bioceutica Milano Texts is the marketing text message program of Bioceutica Milano (AR99 LLC). You can join by checking the optional "Text me offers and cart reminders" box at checkout on us.bioceuticamilano.com. After you place your order we send one text message asking you to confirm. Your subscription starts only when you reply YES to that message. If you do not reply YES, you will not receive any further text messages from the program.
Once subscribed, you agree to receive recurring automated marketing text messages from Bioceutica Milano (AR99 LLC) at the mobile number you provided, including offers, discount codes (coupons), product recommendations and cart reminders. If you start an order and do not complete it, we may send you one reminder per abandoned cart, within 48 hours. You can also reply to our texts with questions and our support team will answer.
Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe at any time; you will receive one final message confirming that you have been unsubscribed. Reply HELP for help, or email support@bioceuticamilano.com. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.
Your mobile number and messaging consent are never shared with or sold to third parties or affiliates for marketing or promotional purposes. Your mobile information is handled as described in our Privacy Policy.
